Welcome to LEXI by Fy Neura!

This Terms of Service Agreement ("Agreement") sets forth the terms and conditions that apply to your access and use of the online functions, products, and services made available to you by Fy Neura, LLC and any and all of its subsidiaries and affiliates ("Company," "we," "us," or "our").

You can access LEXI products and services through our website (located at lexi.fyneura.com) and the LEXI mobile application (the "LEXI App"). All of these channels are referred to collectively in this Agreement as the "LEXI Platform."

By using the LEXI Platform, you agree to be bound by this Terms of Service Agreement. If you do not agree to these terms, do not access or use our services.

1. Eligibility

To use LEXI services, you must:

• Be at least 18 years of age
• Be a legal resident of the United States
• Have the legal capacity to enter into binding contracts
• Not be prohibited from using our services under applicable law
• Have legitimate debt obligations you wish to resolve

LEXI services are currently available only to residents of the United States. We reserve the right to restrict services in certain states based on regulatory requirements.

2. Account Registration

To access certain features, you must create an account. When registering, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access

You are solely responsible for maintaining the confidentiality of your login credentials. We are not liable for any loss or damage arising from unauthorized access to your account.

3. Description of Services

LEXI provides AI-powered financial assistance services, including:

• Debt Analysis: Automated review and organization of your debt obligations
• Negotiation Assistance: AI-powered communication with creditors to negotiate settlements
• Payment Management: Escrow account services for settlement payments
• Progress Tracking: Real-time updates on negotiation status and savings
• Financial Education: Resources to help you understand your options

Important: LEXI is a technology platform and does not provide legal, tax, or financial advice. We are not a law firm, accounting firm, or registered investment advisor. Consult appropriate professionals for specific advice regarding your situation.

4. AI Technology Disclosure

LEXI utilizes artificial intelligence and machine learning technologies. By using our services, you acknowledge and agree that:

• You may interact with AI-powered systems, including voice AI
• AI interactions may be recorded for quality assurance and service improvement
• AI technology has limitations and may occasionally make errors
• Final decisions regarding your finances remain your responsibility
• Human oversight is maintained for critical decisions

Our AI systems are designed to assist and support, not replace, human judgment. You should review all AI-generated recommendations before taking action.

5. Fees and Payment

LEXI operates on a performance-based fee structure. Our fees are as follows:

• No upfront fees or monthly charges
• Fees are calculated based on actual savings achieved
• All fees are clearly disclosed before you agree to any settlement
• Payment is processed through your FDIC-insured escrow account

6. User Responsibilities

As a user of LEXI services, you agree to:

• Provide accurate and complete information about your debts and financial situation
• Authorize LEXI to communicate with creditors on your behalf
• Make required deposits into your escrow account as agreed
• Respond promptly to requests for information or documentation
• Review and approve settlement offers before acceptance
• Understand that results may vary based on individual circumstances

You understand that debt settlement may have consequences including negative credit impact, potential tax implications for forgiven debt, and possible collection activity during negotiations.

7. Prohibited Activities

You agree not to:

• Provide false or misleading information
• Use the service for any illegal purpose
• Attempt to circumvent security measures
• Interfere with the proper functioning of the platform
• Use automated systems to access the service without permission
• Impersonate another person or entity
• Share your account credentials with others
• Use the service to harass or harm others

8. Disclaimers

We do not guarantee:

• That all debts can be settled or reduced
• Specific savings amounts or percentages
• Timeframes for settlement completion
• That creditors will agree to negotiate
• Uninterrupted or error-free service

Results vary based on individual circumstances, creditor policies, and other factors beyond our control.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FY NEURA, LLC AND ITS AFFILIATES SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, data, use, goodwill, or other intangible losses
• Actions taken by creditors, including collection activities or lawsuits
• Tax consequences of debt forgiveness
• Credit score impacts

Our total liability for any claim arising from your use of LEXI services shall not exceed the total fees paid by you to us in the twelve (12) months preceding the claim.

10. Arbitration Agreement

Class Action Waiver: You agree to resolve disputes with us on an individual basis and waive any right to participate in a class action lawsuit or class-wide arbitration.

Arbitration shall be conducted by JAMS under its Streamlined Arbitration Rules. The arbitration shall take place in Orange County, California or at a location mutually agreed upon.

Opt-Out: You may opt out of this arbitration agreement by sending written notice to legal@fyneura.com within 30 days of first accepting these Terms.

11. Termination

You may terminate your account at any time by contacting us. We may suspend or terminate your account if you:

• Violate these Terms of Service
• Provide false or misleading information
• Fail to make required escrow deposits
• Engage in fraudulent activity
• Use the service in a manner harmful to us or others

Upon termination, your right to use the service ceases immediately. Any pending settlements and escrow funds will be handled according to your instructions and applicable regulations.

12. Changes to Terms

We may update these Terms of Service from time to time. We will notify you of material changes by:

• Posting the updated terms on our website
• Sending you an email notification
• Displaying a notice within the LEXI app

Your continued use of LEXI services after changes take effect constitutes acceptance of the updated terms. If you do not agree to the changes, you must stop using our services.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any legal action not subject to arbitration shall be brought in the state or federal courts located in Orange County, California.
